Liquidation of a limited liability company in Russia

There’s no point in me explaining why companies are forced to close, but today we’ll talk about how to do it in Russia and whether you can simply abandon it indefinitely. What happens if you don't liquidate your company? You might think that if your LLC doesn’t operate, you can just leave it and the authorities will understand. The liquidation procedure is complicated and troublesome, and the legal entity will eventually be closed by the Federal Tax Service, which might seem attractive. However, this decision could lead to some unpleasant consequences.

Although a dormant organization with no income or employees is not required to pay taxes or contributions to various funds, it still must report to authorities from time to time. Failure to submit reports and returns will result in fines from the Federal Tax Service and the Social Fund. Additionally, the company may be fined by Rosstat (Federal Service of State Statistics) for failing to submit statistical reports. Business owners can also face fines, and numerous violations can even result in deportation for foreign nationals.

So, if you want to shut your company down because it no longer operates, what else should you know? You might think that if your business has debts to contractors or clients and they try to collect money through court, you don’t have to pay them. The debts will just be written off with the company. Indeed, while an individual entrepreneur is liable for debts with their personal property, an LLC is only liable with its charter capital. However, the director and members can be held vicariously liable for the company’s debts and liabilities. This is called “subsidiary liability” in Russia. That means if a firm goes bankrupt and bankruptcy proceedings are initiated, but the company’s assets aren’t enough to pay creditors, the remaining debts can be recovered from its management if it’s proven that their actions led to the company’s insolvency. So, if things are bad, pretending you’re not involved won’t work.

Another point is, as I mentioned earlier, the tax service can, but doesn’t have to, forcibly liquidate an abandoned company under two conditions: no transactions on the accounts and no reporting for the last 12 months. Today, the tax service is actively cleaning up the registers of business entities. Often, they inspect premises, and tax representatives visit the LLC's registered address to verify whether business activities are being conducted there. If this is not confirmed, data on unreliability is entered into the state register.

When liquidating an organization with outstanding debts or one that didn’t submit reports, the majority participant and the director will be prohibited from registering another LLC and participating in its management for several years due to disqualification. The tax service actively checks how real the business relationships are and requires that due diligence be observed. Therefore, companies must find ways to ensure they know everything about their potential partners. If one of the founders or directors turns out to have been disqualified—whether recently or a long time ago—the chances of cooperation are almost zero. Additionally, participation in competitions and tenders is blocked.

So, if you want to continue doing business in the future, make sure to close your inactive LLC. Note that I’m talking about Russian practice, and things may be different in other countries.

How to liquidate a company?

This process takes time. Although the steps don’t have special names like dissolution, winding up, or termination in English convention, it’s still a multi-step and complex process.

1. Hold a meeting of the LLC members or prepare the sole founder’s resolution if you started the organization alone. In the minutes or resolution, write that you decided to begin a voluntary liquidation of the LLC, approve the composition of the liquidation commission and its chairman, or appoint a sole liquidator. This function can be taken on by the director, accountant, sole founder, any LLC member, or any third party—natural or legal. The liquidator or liquidation commission will manage the company, including representing the legal entity in court without the power of attorney.
   Additionally, approve the procedure and terms of liquidation. The maximum possible term is one year, and it’s safest to indicate this. For example, if you indicate that the liquidation period will be 3 months and the process drags on, you’ll need to extend it by applying to the commercial court, which will involve paying a 6,000 ruble fee and waiting for the court’s decision.
2. Report the liquidation to the tax authority within 3 days using the form R1516. In five working days, the tax office will issue a certificate confirming the entry in the Unified State Register of Legal Entities that your company is in the process of liquidation. From this moment on, you can no longer change the constituent documents.
3. Notify creditors. Publish a notice of liquidation in the State Registration Bulletin. This period can be less than 2 months. During this time, anyone to whom your LLC owes money can demand repayment of the debt. Within three working days from the decision date, enter information into the Unified Federal Register of Facts of Activities of Legal Entities. Also, send a written notice of liquidation to counterparties to whom you have debts.
4. Warn employees in writing about the upcoming dismissal no later than two months in advance. You must also submit a written notice to the employment service no later than 2 months in advance. If the dismissal is for more than 3 months, ensure this notice is provided in time. After this period, terminate the employees’ contracts. Remember to give them severance pay, compensation for unused vacation days, and maintain their average monthly salary while they’re looking for new employment, but no longer than two months.
5. Prepare the interim liquidation balance sheet. At least two months after publishing the liquidation notice, prepare an interim liquidation balance sheet. This can be done by an accountant. It must be approved by a meeting of the founders or by decision of the sole founder, then submitted to the tax office. You also need to attach confirmation of the publication in the State Registration Bulletin.
6. Pay off debts. After the interim balance sheet is approved, settle the company’s debts in the following order:
   1. Pay those owed for moral damage or harm to life and health.
   2. Pay employees for wages and severance pay.
   3. After one month, pay taxes, insurance premiums, fines, and penalties.
   4. Pay any remaining debts.
7. Prepare the final liquidation balance sheet. Once debts are cleared, prepare the final liquidation balance sheet, which must also be approved by the members or sole founder.
8. File closing reports with the tax service and social and pension funds within a month. If your LLC has any property left, it must be distributed among the participants.
9. Submit a termination request to the Federal Tax Service. The state fee for terminating a firm is just 500 rubles.

Registration of foreigners for migration purposes in Russia

One of the things a foreigner must do while in Russia is to notify immigration authorities of his or her place of stay, i.e., register. How this is done and when it's required, we'll discuss today. So, let's get started.

First of all, I want to warn you that registering for migration purposes in Russia should not be confused with registration at the place of residence. The latter resembles permanent registration at the place of residence for Russian citizens, and it is a stamp in the passport or residence permit. Plus, it is only available for Russian residents. But today, we will talk about registration for immigration purposes. This is not a stamp but a separate document with an address, and it is issued mostly to foreigners with a visa or, in some cases, to foreigners with residency. This document is a must for foreign nationals when they are in Russia.

Who registers a foreigner?

As a rule, it’s their inviting party: university if they’re a student, employer if they’re an employee, or a person who invited the foreigner on a work patent. The landlord registers a non-citizen who rents their apartment, medical facilities and various hotels register their patients and guests. However, a foreigner is responsible for their own registration if they are going to live in an apartment or house they own.

But does it mean that if the property is not yours, you don’t need to watch this video? Not really. Here we will cover some very important points to keep in mind.

Where does it get done?

A non-citizen can be registered through the migration department of the Ministry of Internal Affairs or through intermediaries, namely the multifunctional center or the state services website. In case of initial registration, you can also apply by mail.

What does it look like?

Registration is a part of the arrival notification form. It's a document with seals in which the foreign national’s name, passport data, address, and the period until which this registration is valid are written. We will talk about this period later in this video. Please note that this is an important paper, and you shouldn’t throw it away until you get a new registration or fly out of the country.

What documents are needed to register someone?

Of course, a passport with a valid visa or residence permit is always required. The exemption from the visa requirement applies to visa-free foreigners if the period of visa-free stay in Russia hasn’t expired, but there are few such countries. You will also be asked to provide an immigration card and previous registration if this is not the initial registration. The remaining documents depend on where the non-citizen lives and on what basis. For instance, the owner of the dwelling where you will be living provides proof of ownership.

What is the expiration date of the registration?

Please note that registration is issued not just to a certain person, but to a specific passport, visa or residence permit, work patent, and address. In other words, the date you or your inviting party can and will indicate in the registration is limited by the date of your permit documents. If you were given a new one-year visa, your registration card will expire in one year as well. But if your visa is valid for 1 year and your passport expires in 8 months, for example, the expiration date in the registration will be in 8 months. That is, the shortest period is indicated when you move to another place, the registration is also to be reissued. The same applies to situations where you change your passport, whether because the old one expired, you lost your previous passport, or some personal data has changed. If you come from a visa-free country without a visa, just as a tourist, your registration will be valid for no more than 3 months.

How fast should a foreigner register?

It depends on the type of registration. Initial registration means that a foreign national has just arrived from abroad and must report their arrival to the Ministry of Internal Affairs within seven working days after crossing the border. There are exceptions to the rule: citizens of Belarus, Ukraine, and highly qualified specialists and their family members, regardless of their origin, can register within 90 days. Foreigners from Armenia, Kazakhstan, Kyrgyzstan, and citizens of the Eurasian Economic Union member states working in Russia must register within 30 days. Those who come from Uzbekistan or Tajikistan can undergo this procedure within 15 days.

Registration at a new place of residence.

If you already have a registration, it must also be completed within seven working days, with the exception of highly qualified specialists. They have the right to do this within 30 days. Please note that this includes hospitalization and hotel accommodation. Hotels and hospitals register non-citizens at their address. So, once you are discharged or check out, you will have to re-register at home. Such facilities submit information to the Ministry of Internal Affairs quickly, within a day, through a special program. So, if you are staying at a hotel for only a couple of days, don’t think that this doesn’t apply to you.

Registration is not required for sailors and crew members of air and other transport who make stops in Russia as part of the crew or participate in international traffic and are at work. And if you stay in Russia for no longer than 7 days, their registration isn’t required either.

To extend registration, a foreigner has only three working days, or, if the current registration expires early, then until its expiration. As I said, registration is limited by the validity of the permit documents. So, a new one is obtained, for example, when renewing or receiving for the first time a visa or work permit, receiving a residence permit, or getting a new passport.

Recommendations.

Usually, foreigners invited by companies or universities don’t encounter problems related to registration. Although situations vary, the same is true for hospitals and hotels, but it's very easy to run into a landlord who simply doesn’t want to register you. So, I recommend you ask the potential landlord about it before moving into the apartment. Also, make sure that the arrival form that you or your friend who invited you fills out is up to date. They do change from time to time, even if only slightly.

Another thing that may seem obvious is to keep your inviting party informed about your movements and changes in documents.

For violations of the immigration registration rule, a fine from 5,000 to 7,000 rubles is provided for both the non-citizen and their inviting party. And if the foreigner was invited not by an individual but by an organization, the fine can reach half a million rubles for one violation. Additionally, the foreign national can be deported from the country for two fines within a year. So, take it seriously.

How to get a temporary residence permit in Russia?

A temporary residence permit (RVP) refers to a residence permit issued for a period of 3 years. Any foreign national legally staying in Russia can apply for it. It is generally the first step toward acquiring Russian citizenship and is marked by a special stamp in the passport. It cannot be extended. After the RVP expires, the holder must either apply for a permanent residence permit, leave the country, or, in certain special cases, apply for citizenship.

According to standard procedure, a foreign national can apply for a temporary residence permit under a quota approved by the Russian government. This means that the government sets a certain annual number of temporary permits for each region, and the region cannot issue more permits than those determined. For example, 750 permits are available for the Moscow region in 2024. Even if there are more applicants, the quota is distributed evenly throughout the year, with a specific number allocated each month. However, whether to accept an application or not is decided by a special commission. There are criteria that can significantly increase your chances of success, which I will mention later.

When can you get an RVP without taking into account the quota (i.e., guaranteed cases)?

• You are married to a Russian citizen and live in the region where your spouse legally resides.
• You have joined the Russian military for the period of your service.
• You are a participant in the state program to assist the voluntary resettlement of compatriots living abroad and their family members.
• You are a citizen of a state that was part of the USSR and pursued higher education in Russia.
• You are a citizen of the Republic of Kazakhstan, Moldova, or Ukraine.
• You are moving to Russia in accordance with international treaties signed by the Russian Federation.
• You are eligible for a permanent residence permit without needing a temporary one (more on this in another video).
• You are a stateless person and have a temporary identity card of a stateless person in Russia, or you are a stateless person who resided in Ukraine and was recognized as a refugee or received asylum in Russia.
• You can apply for an RVP together with your minor children or legally incompetent relatives.

Step-by-step instructions for obtaining an RVP under the quota:

1. Obtain a quota: The first thing you need to do is get into the quota. This is not a document; rather, your name will be included in the database of the Ministry of Internal Affairs (MVD). Then, you can apply for a temporary residence permit, which is a separate procedure.
2. Apply for the quota: You apply for the quota through the Ministry of Internal Affairs. The application is considered within one month, and the decision is announced within six days. The list of individuals granted a quota can be found in the same MVD department where you applied.
3. Undergo medical examinations: You need to have a medical exam, pay the state fee, and apply for the permit. Note that if you receive a quota in 2024, you will not be allowed to apply again in 2025.
4. Visa procedures: The Ministry of Internal Affairs will send notice about its decision. Applications for visas for foreign nationals are considered within four months, or visa-free for two months. You will come to the Ministry of Internal Affairs to get the permit, which will be stamped into your passport as a separate document. This is done within three working days.
5. Multi-entry temporary resident visa: After the permit is issued, you will be granted a multi-entry temporary resident visa that is valid until the permit expires.

Documents required:

Besides your personal documents, when applying for a quota, I recommend presenting evidence that you either work or study in Russia, have relatives here, hold a profession in demand in the country, have a diploma (even if earned abroad), or have real estate or some form of income in Russia. This will help convince the commission that you are a person of interest to the country.

To apply for the permit itself, you will need to get tested for HIV, syphilis, hepatitis B and C, tuberculosis, and drugs in your body. You will also need to provide a certificate of no criminal record. If you have residence in another country, you must present the residence permit.

The most complicated requirement is proving proficiency in Russian. Remember that before applying, all documents in a foreign language must be translated by a certified translator and notarized. Documents issued in a foreign country must also be preliminarily apostilled or legalized in the country where they were issued.

Is it possible for someone who is not a Russian citizen to legally purchase property in Moscow?

Let's imagine that you, a foreigner, want to buy real estate in Russia from a Russian citizen. What should you remember to avoid legal issues and scams? Let's discuss it.

Naturally, the first piece of advice that will apply not only to Russian citizens but to any seller is identity verification. This is what a Russian passport looks like. This is what you should check when verifying the passport: no corrupt fonts, no missing signature, no watermarks, and no strange visas in the country of the transaction (if applicable). If the visa looks unusual or if the passport was issued a long time ago but looks like new, it’s a red flag.

The best idea is to run a check on the future seller's identity documents. Ask them to show you their internal passport. It’s the main ID for Russian citizens in Russia. You can see an example on the screen. Enter the passport details on the government website by clicking on the link shown, and you’ll find out if the document is existing and valid.

It’s more complicated with the travel passport, but as lawyers, we can check it too for compliance with the state requirements, as well as entry and exit stamps, claims of other possible owners, and more.

It may happen that you buy the house of your dreams, only to find out that the seller was not the sole rightful owner. The seller might not have had the legal authority to sell it. In such cases, claimants can go to court, and depending on what the judge decides, either the deal will be canceled, or the claimants will demand compensation. Of course, this depends heavily on the laws of the country, but ideally, you want to ensure that the person selling the property has the right to do so.

When can this happen? Firstly, if a person is married, Russian law states that anything acquired during the marriage is community property and belongs to both spouses equally, 50/50. This means you will at least need the consent of the spouse, even if the property is registered solely in the name of one spouse.

Secondly, the property might belong to a person who is now deceased, and multiple Russian heirs may be laying claim to it. If probate has already been initiated, one of the heirs who owns a share might want to sell the property quickly before it is divided among the other heirs. Sadly, you are unlikely to find out this information yourself without the help of a lawyer.

Another issue is the power of attorney. Real estate can also be sold via a power of attorney, but in this case, the chance of fraud is very high. It is crucial to check the power of attorney before signing any contract. What must a power of attorney include?

A power of attorney issued in Russia must be notarized on a yellow form with a notary seal, containing the notary’s coat of arms. It must include the document's name, the place of issue (city and notary office), the date of execution, information about the principal and the attorney-in-fact (full name, place of residence, and some other data), as well as the powers granted to the attorney-in-fact (i.e., what they are allowed to do). It should also include the signature of the principal and may contain the period for which the power of attorney is valid, along with any rights regarding delegation if applicable.

If any of the required points are missing, it could either be a forgery or simply an invalid document. Even if the power of attorney is genuine and was correctly issued by the notary, there’s no guarantee the principal hasn’t canceled it a few days ago. This can only be checked through the notary’s system.

Additionally, please note that such a document ceases to be valid if the person represented dies, is declared incompetent, has limited capacity, or is declared missing. Unfortunately, it’s extremely difficult for a Russian citizen, let alone a foreigner, to check this, so don’t hesitate to contact us if you need help with Russian documents.

For a long period of work—more than 3 months—there are two options for registering employees.

The first option is the regular worker visa. The main difficulty in obtaining it is that employees must take Russian language, history, and law exams after arriving in Russia.

The second option, which this video is dedicated to, is the highly qualified worker visa. What are its advantages? Its main advantage over a regular work visa is that there is no requirement for the Russian language, history, and law exams. In addition, a highly qualified specialist can temporarily move to another region to work, rather than being restricted to just one region. Plus, such a worker can invite family members to live in Russia.

However, there are some requirements. First, the salary of the highly qualified employee must be at least 750,000 rubles quarterly. As of April 2025, this is almost $10,000. Second, such an employee must confirm their high qualification with documents. The law states that the qualification is determined by the employer, but the forms filled out by the employer require the indication of the employee’s diploma.

If your employee meets these criteria, then let's talk about the documents and the registration procedure.

Here is the list of documents:

1. Employer’s permission to hire a highly qualified specialist. It is drawn up according to a special form established by law. A photograph is pasted onto the petition.
2. Diploma. This is preferable but not required if available, along with its translation.
3. Notarized copy of the passport with a notarized translation into Russian. The translation of the passport should be done in Russian and certified by a notary.
4. Original employment contract. At the time the documents are submitted, the contract must already be signed.
5. Letter of guarantee from the employer on the company's letterhead. In this letter, the employer guarantees that they will provide insurance for the period of work, as well as the employee’s flight in the event of termination of the contract.
6. Power of attorney for the person who will submit the documents on company letterhead to represent the interests of the company.
7. Health certificate for the worker confirming that they have passed all required tests in Russia, including the absence of HIV.
8. Employee fingerprint card obtained in Russia.
9. State fee.
10. Insurance certificate.
11. Employer’s constituent documents.

What is the process?

All these documents are submitted to the migration service of Russia. To apply, you should make an appointment in advance. Documents are to be submitted in the region where the employee is expected to work or where the company is registered. After applying, a work permit is issued within 2 weeks, and a highly qualified specialist visa is issued within 1 month. In addition, when applying, it is necessary to indicate where exactly the worker will receive the visa—either in Russia or at the embassy in their home country.
